Action Products International, Inc. On Dec. 21, 2011 Action Products International, Inc. (OTC:APII) announced its acquisition of North East Expedite Logistics, LLC (NEEL), a Delaware limited liability corporation. "We're pleased to announce our first corporate acquisition," says Gary Polistena, CEO of Action Products. "Over the past year; we have been rebuilding the foundation of APII and searching to acquire companies that build long-term shareholder value. We have been working on this acquisition for most of 2011 and even though APII is not focused directly on logistics, NEEL provides shareholder value by bringing positive cash flow into the company and improves our balance sheet and fixed-asset financial position.
As an overview, NEEL provides transportation and logistics services to customers on the East Coast, and as the once preferred trucking company for Circuit City, NEEL built a solid foundation of relationships within the industry, assets and customers which include the USPS, Amazon.com, The Washington Post and Newark Star Ledger. Twice in the past three years, NEEL has surpassed 2 million in annual gross sales. Our first order of business is to optimize business operations by moving away from the traditional terminal and paper system of tracking to a fully cloud-based supply chain technology solution. NEEL is currently running at over 90% capacity, and as we improve margins through optimization, retained cash will be re-invested to improve growth percentages and income. All existing staff of NEEL will be retained post-acquisition, and NEEL will operate as a wholly owned subsidiary of APII. When finalized, an updated corporate financial statement will be released to the public."

2.2 Semiconductor and Nanotechnology Systems and Solutions
2.2.1 Manufacturing Test Systems Software (Reliability Software for production which CWS has installed base of 95% of market) Almost all competition is solutions customers have done in-house which is a disadvantage (overcome empire builders) and advantage (expensive to support and keep current).
2.2.3 Engineering and Manufacturing Test Systems Agilent Technologies, Keithley Instruments, Reedholm Corporation Notes: All of those three corporations have only single-site test solutions. CWS has developed parallel multi-set test solutions for both engineering and manufacturing CWS is the only solution provider for parallel software and solutions in both engineering and manufacturing
3. Core Wafer has two major business units: Semiconductor and Nanotechnology and Magnetics Test Systems and solutions. Both divisions offer software for extracting, analyzing and interpreting the test data they conduct for their customers.
3.1 Magnetics Test Systems customers include Multi-Dimension Technology Co. Ltd. (China), Seagate, and Western Digital. 3.2 Semiconductor and Nanotechnology division customers include Applied Materials, TSMC (Taiwan), Winbond (Taiwan), Sematech International, Global Foundries, National Semiconductor (now part of TI), Texas Instruments, US Department of Defense, Fujitsu (Japan), Intel, ON Semiconductor, Charter Semiconductor (now a part of Global Foundries).

While CWS has historically registered around $4 million in annual sales, Action Products expects the company to generate more than $14 million during 2012 (pro forma). The company attributes the extraordinary growth to several advantageous factors, including major upgrades being rolled out to new and existing customers CWS has developed in response to demands relating to the cyclical advances in semiconductors, nanotechnology, and magnetics industries perpetually experience.
Looking further ahead, the company expects top-level revenue growth to exceed $142 million over the next 48 months due to facilities acquiring new testing equipment to meet demands introduced by more complex components, reduce testing time per component, and companies in Thailand replacing and upgrading their damaged equipment from the massive flood in 2011. Pro forma year-over-year projections are $28 million for 2013, $42 million for 2014, and $58 million for 2015.

Gary Polistena – Chief Executive Officer
Gary Polistena has served as Chief Executive Officer and Chairman since November, 2010. Mr. Polistena was initially trained as a specialist in microwave technology in the United States Marine Corps, where he received an honorable discharge. He remained within the telecommunications industry where he served as a Project design Engineer and Project Manager for various national wireless carriers, where he oversaw several large scale projects and network launches, one of which remains on the books as the largest single market build-out in wireless history.
Teresa McWilliams – Chief Financial Officer
Teresa McWilliams has served as Chief Financial Officer since June 2011. Ms. McWilliams spent her early career at Merrill Lynch, a small CPA firm, and a broker/dealer where she moved into the role as corporate controller. In 1998, she started her own consulting practice and has since been providing private and public companies with services that include general accounting, business tax & financial statement preparation and issuance of audited filings to the market. Teresa serves as associate pastor and often spends her spare time performing community outreach within her church family.

Martin Jenson is currently the owner of a private equity firm. He also acts as a board member at the Danish American Chamber of Commerce and holds a senior-level position within a large telecommunications company.
Greg Miller is currently the Sales and Business Manager for Core Wafer Systems, a leader in semiconductor and disc drive manufacturing solutions. Greg was previously a Service and Consulting Manager with Agilent Technologies where he was responsible for technical evaluations, pre-sales, and leading project management for complex projects. He also was a Senior Level Engineer within the Marketing, Research & Development, and Corporate IT departments within Hewlett Packard.
Aziz Ahmad is currently the CEO of UTC Associates, as well as the CEO and co-founder of Vonair. Mr. Ahmad is a board member of Grameen Solutions, Grameen IT Park in Bangladesh and serves as an advisor to the Prime Minister of Bangladesh. Mr. Ahmad was the recipient of First Asian Distinguished Alumni award of City University of New York. Previously, Aziz was the lead architect of AT&T's VoIP networks.
Yonghun Kim serves as CEO of Power Profit Investment, Ltd. and President of Asia of Newdea, Inc. Mr.Kim is an advisor at BB&R and also to Moroccan American Trade and Investment Corporation. He serves as a partner at Planet Blue E&P, Inc., and has held a number of other consultant and advisory positions throughout his career along with promoting Korean-US relations during the past decade. He is a board member of Newdea, EDC, RediFone and TIP Solutions, Inc. He is a graduate of West Point and served in the US Army. He studied classics at the University of Texas in Austin.
